Terms of Service
These Terms of Service (the "Terms") are a binding agreement between you ("you", "Developer") and Pipworks, Inc., a company with its principal place of business at 98 San Jacinto Blvd, Suite 400, Austin, TX 78701, United States ("Pipworks", "we", "us"). They govern your access to and use of the Pipbit developer platform, including the website, developer portal, APIs, SDKs, documentation, and related services (collectively, the "Service"). By creating a developer account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Overview of the Service
Pipbit is a voice-first platform for cellular-connected hardware devices (each, a "Pipbit Device"). End users speak to their Pipbit Device, Pipworks converts speech to text, and the text is routed to developer-operated agents ("Agents"). Agents return text responses that Pipworks speaks back to the user over the device. The Service lets you register, configure, and operate Agents, and lets end users discover and interact with published Agents by voice.
2. Eligibility and Accounts
You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for all activity under your account, for keeping your credentials (including API keys and developer secrets) confidential, and for promptly notifying us of any suspected unauthorized use. You agree to provide accurate information when registering and to keep it up to date.
3. Developer Agents and Your Responsibilities
You are solely responsible for your Agents, including their content, behavior, any large language models or third-party services they invoke, and any data they collect, store, transmit, or generate. You represent and warrant that:
- You have all rights necessary to operate your Agent and to receive and process end-user communications delivered to it.
- Your Agent will comply with all applicable laws, including telecommunications, consumer protection, privacy, and export control laws.
- You will clearly identify your Agent to end users, honor user requests to stop communication, and not impersonate Pipworks or another person or business.
- You will disclose in a reasonable manner that your Agent is an automated, AI-driven service where disclosure is required by law or reasonably expected by the end user.
4. Acceptable Use
You agree not to use the Service, and not to build or operate an Agent, to:
- Send unlawful, fraudulent, deceptive, harassing, threatening, defamatory, or obscene content, or content that infringes third-party rights.
- Send unsolicited bulk, promotional, or automated dialer content in violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM, or equivalent laws.
- Engage in phishing, impersonation, credential harvesting, or any form of social engineering.
- Collect, infer, or transmit sensitive personal information (including government identifiers, precise geolocation, biometric identifiers, health, or financial account data) beyond what is strictly necessary for your Agent's stated purpose and disclosed to the end user.
- Interfere with, probe, or attempt to circumvent the security, integrity, rate limits, or intended operation of the Service.
- Use the Service to develop a competing product, or to benchmark or replicate non-public functionality.
We may investigate suspected violations, suspend Agents or accounts, remove content, and cooperate with law enforcement. We may also establish and change technical limits on the Service (including rate limits, message size, and retention windows).
5. End Users and Consent
End users interact with Agents through Pipbit Devices owned or used by them. Pipworks is responsible to the end user for the core device and voice experience; you are responsible, as an independent controller or business, for the end-user-facing terms, notices, and consents required by your Agent's handling of user data and its subject-matter domain. You will provide Pipworks with accurate information needed to display your Agent to end users (name, description, trademarks, contact information) and you will honor end-user requests directed to your Agent (including requests to stop communication or delete data) as required by law.
6. Fees
Some features of the Service may be offered free of charge during a preview period; others may require a paid subscription or usage fees. Pricing and any paid features will be clearly presented to you before you incur a charge. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and payable in U.S. dollars. We may change fees on notice; continued use of the Service after a fee change takes effect constitutes acceptance of the new fees.
7. Intellectual Property
The Service, including the SDK, documentation, and website, is owned by Pipworks and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the SDK and documentation solely to build and operate Agents that integrate with the Service. You retain ownership of your Agent code and content. You grant Pipworks a worldwide, royalty-free license to host, transmit, display, and process content submitted through your Agent solely to provide and improve the Service. Feedback you give us may be used by us without obligation to you.
8. Third-Party Services
The Service relies on third-party providers (including cellular carriers, messaging infrastructure, speech and language model providers, cloud hosting, and analytics). Your use of those providers may be subject to their own terms. We are not responsible for the availability, performance, or content of third-party services.
9. Confidentiality
"Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or would reasonably be understood to be confidential, including API credentials, non-public features, roadmaps, and security details. The receiving party will use Confidential Information only to exercise its rights and perform its obligations under these Terms and will protect it using at least reasonable care.
10. Suspension and Termination
You may stop using the Service at any time by deleting your account. We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us, or repeatedly infringed third- party rights. We may also discontinue the Service or any part of it on reasonable notice. On termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 3, 4, 7, 11, 12, 13, and 16) will survive.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, PIPWORKS DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON- INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR OUTPUT FROM AN AGENT OR FROM A SPEECH OR LANGUAGE MODEL WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE. AGENT OUTPUTS MAY CONTAIN ERRORS AND SHOULD NOT BE RELIED ON FOR DECISIONS WITH LEGAL, MEDICAL, FINANCIAL, OR SAFETY CONSEQUENCES WITHOUT HUMAN REVIEW.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PIPWORKS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO PIPWORKS FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
13. Indemnification
You will defend, indemnify, and hold harmless Pipworks and its affiliates, officers, directors, employees, and agents from and against any third-party claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of or related to (i) your Agent or its content or operation, (ii) your use of the Service, (iii) your violation of these Terms or applicable law, or (iv) your violation of any third-party right, including intellectual property, publicity, or privacy rights.
14. Changes to the Service or Terms
We may change the Service and these Terms from time to time. If we make a material change to these Terms, we will provide reasonable notice (for example, by posting on the developer portal or by email). Changes take effect on the stated effective date. Your continued use of the Service after that date constitutes acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Except for claims for injunctive relief, the state and federal courts located in Travis County, Texas will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and the parties consent to personal jurisdiction and venue in those courts.
16. General
These Terms are the entire agreement between you and Pipworks regarding the Service and supersede any prior agreements on that subject. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
